1. Who you are contracting with

These Terms & Conditions ("Terms") are a binding agreement between you and Trainrz ("Trainrz", "we", "us"). Trainrz operates the website at trainrz.com and the associated coaching-marketplace service (the "Service"). By creating an account, browsing, or continuing to use the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Who may use the Service

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. The Service

Trainrz is a marketplace where athletes can discover coaches, view their schedules, and book sessions, and where coaches and organizations can list their availability and manage bookings. Trainrz is not a party to any coaching relationship formed between an athlete and a coach and does not provide coaching, medical, or health advice.

4. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• use the Service for anything unlawful, fraudulent, or misleading;
• send spam or unsolicited messages;
• infringe anyone's intellectual property, privacy, or other rights;
• upload malware or attempt to probe, scan, or interfere with the security or integrity of the Service;
• scrape, harvest, or bulk-download content or data from the Service;
• reverse engineer, resell, or redistribute the Service or its content.

5. Intellectual property

Trainrz and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, branding, and content we provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.

You retain ownership of the content you upload (profiles, schedules, messages, etc.). By uploading content you grant Trainrz a worldwide, non-exclusive license to host, store, reproduce, and display that content for the sole purpose of operating and improving the Service.

6. Coach and organization memberships

Some features (including organization memberships) are paid. Paid plans are offered as either one-time fees or recurring subscriptions billed in advance on a monthly basis until cancelled. Your subscription renews automatically for successive periods unless you cancel before the renewal date.

7. Payments, billing, tax, and cancellations

Our order process, payment, billing, sales tax, invoicing, and refund mechanics are handled by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Full commercial terms for the purchase itself are set out in Paddle's Buyer Terms. 8. Service availability

We work hard to keep the Service running, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access to all or part of the Service if you materially breach these Terms, fail to pay amounts due, expose the Service or other users to security or fraud risk, or repeatedly violate our policies. You may stop using the Service at any time. On termination the licenses granted to you end and we may delete your data after a reasonable export window.

10. Limitation of liability

To the fullest extent permitted by law, Trainrz will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or in connection with the Service. Our aggregate liability for any claim relating to the Service is capped at the amounts you paid to Trainrz in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law (including for fraud, death, or personal injury caused by negligence).

11. Indemnity

You agree to defend and indemnify Trainrz against any third-party claims arising from your content, your use of the Service, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Trainrz is established, without regard to conflict-of-laws principles. You and Trainrz agree to submit to the exclusive jurisdiction of the courts of that jurisdiction for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will provide reasonable notice (for example, by posting the updated Terms on this page and updating the "Last updated" date). Your continued use of the Service after the changes take effect constitutes acceptance.
